1. Applicability and Acceptance of Terms
1.1. These Terms of Service (“Terms”) constitute a legally binding agreement between VIGO ONLINE GROUP (“Company,” “we,” “us,” “LeadFilter,” or “Merchant of Record”) and you (“User,” “Partner,” or “Purchaser”). These Terms govern your access to and use of the website available at leadfilter.ca (the “Site”), the LeadFilter platform, APIs, and the purchase of any digital products or services offered by the Company (collectively, the “Service”).
1.2. By registering an account, accessing the Service, or purchasing any digital product (including “Credits” or “Quiz Access”), you acknowledge that you:
- Have read, understood, and agree to be bound by these Terms;
- Possess the necessary legal capacity to enter into a binding agreement.
1.3. If you do not agree with these Terms, you must immediately cease all use of the Service.
2. Description of the Service & Merchant of Record Status
2.1. Nature of Service. LeadFilter is a SaaS platform operating under a Merchant of Record model. The Service facilitates:
- For Partners (Creators): The creation and hosting of interactive questionnaires (“Quizzes”) and the receipt of payouts for monetized content via leadfilter.ca.
- For Purchasers (Leads/Clients): The purchase of immediate digital access to specific Quizzes, reports, or results generated by Partners.
2.2. VIGO ONLINE GROUP as Merchant of Record.
Unlike peer-to-peer platforms, VIGO ONLINE GROUP acts as the sole Merchant of Record (MoR) for all transactions processed through the Service. This means:
- VIGO sells the digital products (“Quiz Access” or “Credits”) directly to the Purchaser.
- The Purchaser’s bank statement will reflect a charge from LEADFILTER or VIGO ONLINE GROUP.
- VIGO is responsible for payment processing, transaction fulfillment, and the technical delivery of the digital good.
2.3. Digital Products. The Company sells strictly intangible digital goods:
- Credits: Internal units used to unlock features or access content.
- Quiz Access: A license to view and interact with specific digital content configured by a Partner.
3. Financial Structure, Payouts, and Refunds
3.1. Pricing.
The Partner is responsible for setting the retail price (“Price”) for their Quiz Access or Credits via the Platform interface at leadfilter.ca. VIGO ONLINE GROUP, as the Merchant of Record, accepts this Price and lists the digital product for sale to Purchasers at the designated amount.
3.2. Payment Processing & Fees.
All transactions are processed by VIGO ONLINE GROUP’s payment providers (e.g., Stripe).
- Partner Responsibility for Fees: The Partner acknowledges and agrees that all payment processing fees (including Stripe transaction fees, currency conversion fees, and cross-border fees) incurred by VIGO regarding the sale of the Partner’s content shall be borne solely by the Partner. These fees will be deducted from the Gross Sales before Payout.
3.3. Calculation of Payouts (Net Revenue).
VIGO ONLINE GROUP shall remit to the Partner a “Payout” (commission/royalty) calculated as follows:
Payout = Gross Sales – (Stripe Processing Fees + VIGO Platform Fee + Applicable Taxes)
- Gross Sales: Total amount paid by the Purchaser.
- Stripe Fees: The actual costs charged by Stripe to VIGO for processing the specific transaction.
- VIGO Platform Fee: The commission retained by VIGO for the use of the Service (as agreed in the Partner Dashboard).
- Taxes: Any Sales Tax, VAT, GST/HST, or other transaction taxes that VIGO is legally required to collect and remit to tax authorities.
3.4. Payout Schedule.
Payouts are remitted via Stripe Connect. The Company reserves the right to hold payouts for a designated period (e.g., 7-30 days) to cover potential chargebacks, refunds, or fraud risks. To receive Payouts, Partners must complete all required Know Your Customer (KYC) or Know Your Business (KYB) checks enforced by Stripe and VIGO.
3.5. Taxes.
- Transaction Taxes (VAT/GST): Where applicable, VIGO acts as the tax collector for the transaction. These taxes are deducted from the Gross Sales before Payout calculation (if included in the price) or added to the price, depending on the jurisdiction.
- Income Taxes: The Partner is solely responsible for reporting and paying all income taxes, social security contributions, and other levies due on the Payouts received from VIGO. The Partner indemnifies VIGO against any claims by tax authorities regarding the Partner’s tax obligations.
3.6. Refund Policy (Strict No-Refund for Digital Goods).
ALL SALES ARE FINAL.
Due to the nature of the digital products provided (immediate access to information, results, or software features), VIGO ONLINE GROUP does not offer refunds once the digital good has been made available to the Purchaser.
- Waiver of Withdrawal Rights: By purchasing access, you expressly acknowledge that performance of the contract begins immediately, and you hereby waive any statutory right of withdrawal or “cooling-off period” applicable to digital content (including under EU/UK consumer laws).
- Exceptions: Refunds may only be issued at the Company’s sole discretion in the event of a verified technical failure of the LeadFilter Platform that prevents access to the purchased content.
3.7. Chargebacks.
If a Purchaser initiates a chargeback or dispute:
- The Partner agrees that the amount of the disputed transaction (plus any associated dispute fees levied by Stripe) will be deducted from the Partner’s accrued Payout balance.
- If the Payout balance is insufficient, VIGO reserves the right to recover the debt from the Partner via other means.
4. License and Intellectual Property
4.1. Company IP. VIGO ONLINE GROUP retains all rights, title, and interest in the LeadFilter Platform, its code, design, trademarks, and the domain leadfilter.ca.
4.2. Partner Content License.
The Partner retains copyright ownership of the text, questions, and images they upload (“Partner Content”). However, by publishing a Quiz on leadfilter.ca, the Partner grants VIGO ONLINE GROUP a worldwide, exclusive (for the duration of publication), royalty-free license to:
- Host, reproduce, distribute, and sell access to said Content to Purchasers on behalf of VIGO.
- Use the Content for marketing and platform improvement purposes.
4.3. Content Warranties.
The Partner warrants that their Content:
- Does not infringe on any third-party copyrights or trademarks.
- Is not fraudulent, misleading, defamatory, or illegal.
- Does not promise financial, medical, or legal results that the Partner is not licensed to provide.
5. Data Protection and Privacy
5.1. The collection and use of personal data are governed by our Privacy Policy, available at leadfilter.ca/privacy.
5.2. Roles:
- VIGO acts as a Data Controller regarding billing information and account data.
- Partner acts as a Data Controller regarding specific answers collected from Leads inside a Quiz. VIGO acts as a Data Processor for this specific subset of data.
5.3. Partners explicitly agree not to misuse, sell, or spam Leads collected through the Platform.
6. Modifications to the Service
The Company reserves the right to modify fees, payout structures, or service features at any time. Updated terms will be posted on leadfilter.ca. Continued use of the Service after changes constitutes acceptance.
7. Indemnification (Critical Clause)
7.1. Although VIGO ONLINE GROUP acts as the Merchant of Record, the Partner assumes full liability for the substance and legality of the Content they provide.
7.2. You (the Partner) agree to INDEMNIFY, DEFEND, AND HOLD HARMLESS VIGO ONLINE GROUP, its officers, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney’s fees) arising from:
- Your violation of these Terms or the Acceptable Use Policy (AUP);
- Your violation of any third-party right, including copyright or privacy rights;
- Any claim that your Content caused damage to a third party (including Purchasers);
- Any consumer protection claims arising from misleading promises made within your Quiz hosted on leadfilter.ca.
8. Limitation of Liability
8.1. To the maximum extent permitted by law, VIGO ONLINE GROUP shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
8.2. Cap on Liability: The Company’s total aggregate liability for any claim arising out of these Terms is limited to the amount you paid to the Company (or the amount of Payouts designated to you but unpaid) in the three (3) months preceding the claim, or 100 USD, whichever is greater.
9. Term and Termination
9.1. VIGO may terminate or suspend your account immediately, without notice or liability, for any reason, including breach of these Terms.
9.2. Upon termination for breach, any accrued Payouts may be forfeited to cover potential damages or legal costs.
10. Miscellaneous
10.1. Governing Law. These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada.
10.2. Dispute Resolution. Any dispute shall be subject to the exclusive jurisdiction of the courts located in Mississauga, Ontario.
10.3. Severability. If any provision is held invalid, the remaining provisions shall remain in full force.
