1. Purpose of the Policy
1.1. This Intellectual Property Policy (“Policy”) defines the rules of ownership, use, protection, and dispute resolution related to intellectual property objects that are:
- Owned by VIGO ONLINE GROUP (“Company,” “we”);
- Created or uploaded by Partners (“Partner Content”);
- Sold via the LeadFilter™ platform (“Digital Goods”).
1.2. This Policy is a mandatory part of the agreement between the Company and the Partner and supplements the Terms of Service.
2. Intellectual Property of the Company
2.1. Exclusive Ownership. All rights to the LeadFilter™ platform and any related products belong exclusively to the Company, including but not limited to:
- Software Code: Backend, frontend, APIs, and source code;
- Algorithms: The operational logic of the quiz engine, scoring systems, and lead segmentation;
- Design: Interfaces (UI/UX), visual schemas, templates, and layout;
- Brand Assets: Logos, corporate identity, and the trademarks “LeadFilter™” and “VIGO ONLINE GROUP”;
- Internal Mechanics: The system of Credits, Wallets, and Payout calculations.
2.2. Legal Protection. All protected objects are safeguarded by the laws of Canada (Copyright Act), the USA (DMCA), the EU (Copyright Directive), and international treaties (Berne Convention).
2.3. Limited License to Partner. The Company grants the Partner a limited, non-exclusive, revocable license to use the Service solely for its intended purpose (creating and monetizing quizzes).
2.4. Restrictions. The Partner does NOT have the right to:
- Decompile, disassemble, or reverse-engineer the platform;
- Copy the design, database structures, or interface logic for use in a competing product;
- Create “clones” or white-label versions of LeadFilter without a separate enterprise agreement.
3. Intellectual Property of Partners
3.1. Partner Ownership. The Partner remains the owner of all original content they create using the Service, including:
- Questions, text descriptions, and quiz scripts;
- Images, logos, and videos uploaded by the Partner;
- The specific logic and scoring formulas configured by the Partner.
3.2. License Grant to VIGO (Crucial for MoR).
By publishing content on leadfilter.ca, the Partner automatically grants VIGO ONLINE GROUP a worldwide, non-exclusive, royalty-free, transferable license to:
- Host, display, reproduce, and distribute the Content;
- Sell access to the Content to End-Users (Purchasers) acting as the Merchant of Record;
- Use the Content for marketing purposes to promote the Platform (e.g., “Featured Quizzes”).
3.3. Partner’s Warranty. The Partner represents and warrants that:
- They own or have the necessary licenses for all assets (images, music, text) used in their Quiz;
- The Content does not infringe on the intellectual property or privacy rights of any third party;
- The Content is not legally prohibited (e.g., medical advice without a license).
3.4. Indemnification. The Partner agrees to indemnify VIGO against any claims, damages, or legal fees arising from a third-party claim that the Partner’s Content infringes their intellectual property rights.
4. Content of Leads (End-Users)
4.1. The specific answers, data entries, and results generated by an End-User (“Lead Data”) are processed according to the Privacy Policy and DPA.
4.2.Rights: The Partner acts as the owner of the aggregated data for their specific business purposes, while VIGO acts as the processor facilitating the storage and access.
5. Prohibition on Infringement
Users are strictly prohibited from:
- Uploading third-party copyrighted materials (e.g., Disney images, Netflix screenshots) without a license;
- Copying or “cloning” the successful quizzes of other Partners on the platform;
- Using automated bots, parsers, or scrapers to extract content from leadfilter.ca;
- Creating lookalike domains or phishing sites imitating LeadFilter™.
6. DMCA / Notice & Takedown Procedure
6.1. LeadFilter™ respects intellectual property rights and complies with the DMCA (USA) and the Copyright Modernization Act (Canada).
6.2. Reporting Infringement. If you believe your work has been copied in a way that constitutes copyright infringement, please submit a notification to support@leadfilter.ca containing:
- A physical or electronic signature of the rights holder;
- Identification of the copyrighted work claimed to have been infringed;
- Identification of the material that is claimed to be infringing (URL link);
- Your contact information (Address, Phone, Email);
- A statement that you have a good faith belief that use of the material is not authorized;
- A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner.
6.3. Company Action. Upon receipt of a valid notice, VIGO reserves the right to:
- Immediately remove or disable access to the infringing material;
- Terminate the accounts of repeat infringers;
- Forfeit any Payouts associated with infringing content to cover potential damages.
7. Use of Trademarks
7.1. It is prohibited to use the LeadFilter™ logo, trade name, or brand assets without prior written permission.
7.2.Exception: Partners may mention “Powered by LeadFilter” or use standard badges provided in the Partner Dashboard to indicate the technology provider.
8. Policy Updates
8.1. The Company may update this Policy at any time. Continued use of the Platform after an update constitutes acceptance of the new version.
